For the benefit of international trading corporates, our global network of legal consultants have developed a set of e-Contract templates to be used in the following transactions:

(1) E-Contract for International Commercial Sale of Goods 

This e-Contract is suitable for either one time or short term sale of manufactured goods intended for resale. In the case of continuing relationships with trading partners, it is good to sign a Global e-Commerce Agreement as well with each partner. The Global e-Commerce Agreement is a blanket legal agreement that governs the conduct of electronic business transactions between a company and its trading partners.

(2) E-Contract for International Manufacture and Supply of Goods

This e-Contract is suitable for long term international commercial manufacture and supply of goods including OEM and ODM products. In the case of continuing relationships with trading partners, it is good to sign a Global e-Commerce Agreement as well with each partner. The Global e-Commerce Agreement is a blanket legal agreement that governs the conduct of electronic business transactions between a company and its trading partners.

(3) E-Contract for International Supply of Goods

This e-Contract is suitable for long term international commercial supply of goods. In the case of continuing relationships with trading partners, it is good to sign a Global e-Commerce Agreement as well with each partner. The Global e-Commerce Agreement is a blanket legal agreement that governs the conduct of electronic business transactions between a company and its trading partners.

(4) E-Contract for International Distribution of Goods (by exclusive or non-exclusive distributor)

This model e-Contract is suitable for long term international commercial distribution of goods between a supplier and a distributor who is appointed on exclusive or non-exclusive basis. In the case of continuing relationships with trading partners, it is good to sign a Global e-Commerce Agreement well with each partner. The Global e-Commerce Agreement is a blanket legal agreement that governs the conduct of electronic business transactions between a company and its trading partners.

(5) Global Electronic Commerce Agreement (Global Electronic Trading Partner Agreement or "e-Agreement")

The e-Agreement aims to accommodate all forms of electronic communications available to conclude e-transactions (including e-mail, the Internet, electronic data interchange - EDI, ebXML, etc). Therefore the e-Agreement is signed before executing e-contracts for international trade transactions between a company and its commercial trading partners.

Signing and Exchanging e-Contracts 

» Upload contract forms (available at our online store, or your own forms) to a secure platform like Adobe Acrobat Pro DC, edit/ fill-out and send for the other party’s signature. You can request the receiving party to sign either with an electronic signature or a certificate-based digital signature to suit your document security requirements and in terms of the governing law of the contract.

 

» When the signer clicks the digital signature space on the contract form, he/she will be prompted to sign it using a digital certificate which is previously obtained and installed in the desktop or mobile device. A document signed with a valid digital signature is guaranteed not to have been changed since being signed.

 (Acrobat DC’s features “Fill & Sign” and “Certificates” available under the “Tools” tab enable signing a document with an electronic or digital signature respectively.)
